Force Majeure

  • Standard force majeure (excludes commercial hardship)

    Neither Party shall be liable for delays caused by events beyond reasonable control. Commercial hardship, exchange rate fluctuations and labour disputes are expressly excluded.

Liability & Indemnity

  • Unlimited liability for IP infringement

    The Service Provider shall indemnify the Client without monetary cap for any losses, costs and damages arising from third-party intellectual property infringement claims relating to the Services or Deliverables.

  • Liability cap at 100% of contract value

    The total aggregate liability of the Service Provider under this Agreement shall be capped at one hundred percent (100%) of the total Contract Value.

Payment Terms

  • Milestone-based payments, 10% advance

    Payments shall be made against achievement of agreed milestones. An advance payment not exceeding ten percent (10%) of the Contract Value shall be paid against an Advance Payment Bank Guarantee.

  • Termination for convenience with 30 days notice

    The Client may terminate this Agreement for convenience upon thirty (30) days prior written notice to the Service Provider.
